MELD Wallet Terms of Service

These MELD Wallet Terms of Service (the “Terms”) apply to and govern your and your permitted users’ access to and use of the MELD blockchain software and the services including, without limitation, the MELD Wallet (collectively, the “Services”).

The Terms describe the terms and conditions applicable to the MELD Wallet (“Wallet”) under which MELD Ltd. (“MELD”, “we”, “our”, “us”) provides the Wallet to you.

1. Acceptance of terms

The Wallet is a self-custody wallet that provides a web-based platform for interacting with decentralized applications on the Services, while keeping you in control over what operations you approve. The Wallet is provided through the URL https://app.meld.com/ — which includes access to text, images, audio, code and other materials (collectively, the “Content”) and all of the features, and services provided. Please read these Terms carefully before using the Services. By using or otherwise accessing the Services, or clicking to accept or agree to these Terms where that option is made available, you (1) accept and agree to these Terms, (2) consent to the collection, use, disclosure and other handling of information as described in our Privacy Policy and (3) agree to any additional terms, rules and conditions of participation issued by MELD from time to time. If you do not agree to the Terms, then you may not access or use the Content or Services.

By confirming your acceptance of these Terms, you agree to be bound by these Terms on your own behalf and, if you are duly authorized by a corporate entity, you agree on behalf of your corporate entity that it will be bound by these Terms. If you do not agree to these Terms, you shall not access or use any of the Services.

2. Modification of Terms of Use

MELD reserves the right, at its sole discretion, to modify or replace these Terms at any time. The most current version of these Terms will be posted on our website. You shall be responsible for reviewing and becoming familiar with any such modifications. Use of the Services by you after any modification to the Terms constitutes your acceptance of the Terms as modified.

3. Account Password and Security

When setting up an account within the Wallet, you will be responsible for keeping your own account secrets, which may be in the combination of the information stored in your Google account, the information locally stored on your device, and/or the password which contains an uppercase, a number and a symbol parts. The Wallet encrypts this information locally with a password you provide, that we never send to our servers. You agree to (a) never use the same password for the Wallet that you have ever used outside of this service, (b) keep your secret information and password confidential and do not share them with anyone else and (c) immediately notify us of any unauthorized use of your account or breach of security so that we can improve the Services. MELD will not be able to assist you in recovering your password or the tokens in your Wallet nor will we be able to deactivate your Wallet. MELD will not be liable for any loss or damage arising from your failure to comply with this section.

4. Restrictions

We reserve the right, in our sole discretion, to block, prevent or restrict any user from using any of the Services as we deem appropriate. In particular, we may block, prevent, or restrict access to users that are implicated in sanctions programs.

5. Supporting Information

We may require any person or corporate entity to provide any supporting information, including but not limited to national ID card, phone number, passports and business registration certificates and/or to go through any form of identity authentication, verification, or due diligence processes as we deem appropriate, before enabling any user to access a Service or as a condition to continuing to access or use the Services.

6. Prohibited Use:

You shall not:

6.1 Upload, submit, or transmit any content that is illegal, infringing, harmful, offensive, or inappropriate in our opinion;

6.2 Use any of the Services in any illegal activity or in the furtherance of any illegal activity;

6.3 Use any of the Services for any commercial purposes;

6.4 Exploit, attack, or attempt to exploit or attack, in MELD’s opinion, a Service; or

6.5 Attempt to do any of the foregoing or any of the other prohibited uses or activities as described in the MELD Terms of Site.

7. Analytics

By accessing and using our Services, you understand and accept that we may (or a third party will on our behalf) monitor and analyze your activities, and use, extract, copy and disseminate any of your data and materials (whether now or in the future) to help us conduct research, analytics, tests and future developments in relation to our Services and any other applications, systems, network, database, services or products and create future commercial services and products. You agree that you will not make any claims of any nature whatsoever in relation to the foregoing, including disputing our ability to monitor and analyze your activities and use, extract, copy and disseminate your data and materials or transferring your data and materials to a third party for such purpose. Please refer to our Privacy Policy for details on how we process your personal information.

8. Representations, Warranties and Risks

8.1 Warranty disclaimer

In addition to the warranty disclaimers in the MELD Terms of Site which are incorporated herein, you acknowledge that MELD has no control over, and no duty to take any action regarding: which users gain access to or use the Service; what effects the Content may have on you; how you may interpret or use the Content; or what actions you may take as a result of having been exposed to the Content. You release MELD from all liability for you having acquired or not acquired Content through the Service. MELD makes no representations concerning any Content contained in or accessed through the Service, and MELD will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Service. 

ALL CONTENT PROVIDED ON THE SERVICES IS PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND AND ALL IMPLIED TERMS ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW. No party involved in, or having contributed to the development of the Services, including but not limited to, any operators and stakers on MELD, any of MELD’s affiliates and any directors, employees, contractors, service providers or agents of the foregoing accept any responsibility or liability to you or to any third parties in relation to any materials or information accessed or downloaded via the Services.

You acknowledge that MELD is not responsible for transferring, safeguarding, or maintaining your private keys or any tokens. If you lose, mishandle or have stolen associated tokens private keys, you acknowledge that you may not be able to recover associated tokens, and that MELD is not responsible for such loss. You acknowledge that MELD is not responsible for any loss, damage or liability arising from your failure to comply with the terms hereunder.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PARTIES INVOLVED HAVE ANY LIABILITY WHATSOEVER TO ANY PERSON FOR ANY DIRECT OR INDIRECT LOSS, LIABILITY, COST, CLAIM, EXPENSE OR DAMAGE OF ANY KIND, WHETHER IN CONTRACT OR IN TORT, INCLUDING NEGLIGENCE, OR OTHERWISE, ARISING OUT OF OR RELATED TO THE USE OF ALL OR PART OF THE SERVICES EVEN IF THE PARTIES INVOLVED WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Sophistication and Risk of Cryptographic Systems

By utilizing the Service or interacting with the Content or platform in any way, you represent that you understand the inherent risks associated with cryptographic systems; and warrant that you have an understanding of the usage and intricacies of native cryptographic tokens, tokenized assets and blockchain-based software systems.

8.3 Risk of Regulatory Actions in One or More Jurisdictions

MELD could be impacted by one or more regulatory inquiries or regulatory action, which could impede or limit the ability of MELD to continue to develop, or which could impede or limit your ability to access or use the Service.

8.4 Risk of Weaknesses or Exploits in the Field of Cryptography

You acknowledge and understand that Cryptography is a progressing field. Advances in code cracking or technical advances such as the development of quantum computers may present risks to cryptocurrencies and Services or Content, which could result in the theft or loss of your cryptographic tokens or property. MELD does not guarantee or otherwise represent full security of the system. By using the Service or accessing Content, you acknowledge these inherent risks.

8.6 Application Security

You acknowledge that MELD applications are code subject to flaws and acknowledge that you are solely responsible for evaluating any code provided by the Services or Content and the trustworthiness of any third-party websites, products, distributed ledger technology, or Content you access or use through the Service. You further expressly acknowledge and represent that MELD applications can be written maliciously or negligently, that MELD cannot be held liable for your interaction with such applications and that such applications may cause the loss of property or even identity. This warning and others later provided by MELD in no way evidence or represent an on-going duty to alert you to all of the potential risks of utilizing the Service or Content.

9. Intellectual Property

9.1 Our Proprietary Rights

All title, ownership and intellectual property rights in and to the Service are owned by MELD or its licensors. You acknowledge and agree that the Service contains proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorized by MELD, you agree not to copy, modify, rent, lease, loan, sell, distribute, perform, display or create derivative works based on the Services, in whole or in part.

9.2 Limited License

We grant you a limited, non-exclusive, revocable permission to make use of the Services (collectively, “Access”). This Access shall remain in effect until and unless terminated by you or us. You promise and agree that you will not redistribute or transfer the Service.

The Wallet software application, including without limitation the Services, are not sold or transferred to you, and MELD and its licensors retain ownership of all copies of the software applications even after installation on your personal computers, mobile handsets, tablets and/or other devices (“Devices”).

All MELD trademarks, service marks, trade names, logos, domain names, and any other features of the MELD brand (“MELD Brand Features”) are the sole property of MELD or its licensors. The Terms do not grant you any rights to use any MELD Brand Features whether for commercial or non-commercial use.

You agree to abide by our user guidelines and not to use the Service or any part thereof in any manner not expressly permitted by these Terms. Except for the rights expressly granted to you in these Terms, MELD grants no right, title, or interest to you in the Services.

Third party software (for example, open source software libraries) included in the Service are made available to you under the relevant third party software library’s license terms.

10. Links

The Services provide, or third parties may provide, links to other World Wide Web or accessible sites, applications or resources. Because MELD has no control over such sites, applications and resources, you acknowledge and agree that MELD is not responsible for the availability of such external sites, applications or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that MELD shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

11. Survival

In addition to the provisions which by law or by their nature should survive the termination of the MELD Terms of Site, the following provisions  also survive any termination of these Terms: ANALYTICS; ACCOUNT PASSWORD AND SECURITY; REPRESENTATIONS, WARRANTIES AND RISKS; INTELLECTUAL PROPERTY; LINKS; SURVIVAL; and NO THIRD PARTY BENEFICIARIES.

12. No third-party beneficiaries

You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.
